EU Investigates Possible Early Completion of XXXLutz’s Porta Takeover

Germany: The European Commission announced in July 2026 that it intends to investigate a possible violation of EU law concerning XXXLutz’s takeover of Porta, with the acquisition remaining subject to European Commission merger-control approval. XXXLutz said the notification followed an extensive pre-notification process involving the preparation and review of significant data and information; the Commission generally has 25 working days for its first-phase assessment, followed, under certain conditions, by a second phase of up to 90 working days. The merger is intended to strengthen XXXLutz’s presence in regions where it has limited or no representation and support its response to declining store traffic and increasing online competition, particularly from the Far East.
