Bosch Acquires Majority Stake in Johnson Controls-Hitachi Air Conditioning India

India: Robert Bosch GmbH has acquired a 74.2% stake in Johnson Controls-Hitachi Air Conditioning India (JCHAI) from Johnson Controls-Hitachi Air Conditioning Holding (UK) and JCHAC India HoldCo Ltd, effective July 31. The acquisition is part of a global US$8 billion deal in which Bosch is taking over the residential and light commercial AC business from Johnson Controls. Bosch will make a mandatory open offer for the remaining 25.75% held by minority shareholders. With this move, Bosch expands its presence in India’s home appliances sector by adding air conditioning systems to its existing portfolio.
JCHAI manufactures room, ductable, and commercial air conditioners under the Hitachi Cooling and Heating brand. In FY25, JCHAI recorded sales of INR 2,756 crore (US$ 313 million) and a net profit of INR 58 crore (US$ 6.6 million), recovering from a net loss in FY24. Despite a 14% year-on-year dip in Q1FY26 revenue due to early monsoons and erratic rainfall, the decline was better than the industry average. The company noted rising demand for light commercial ACs driven by increased investments in infrastructure and real estate sectors.
