Lindbergh Signs Agreement to Acquire Termotecnica Monzese in Italy

Italy: Lindbergh, a company listed on Euronext Growth Milan and active in logistics services and solutions, has entered into a preliminary agreement to acquire 100 percent of Termotecnica Monzese. The latter has been operating in the HVAC sector for over five decades in the province of Monza and Brianza. The acquisition is part of Lindbergh’s broader strategy to expand its operations in the HVAC market, particularly in technical assistance and installation services. The move is also seen as complementary to Lindbergh’s existing activities in northern Lombardy, where group companies Vergottini and EPS are already present.
Termotecnica Monzese reported an average annual revenue of EUR 1.909 million (USD 2.05 million) and an average EBITDA of EUR 214,000 (USD 229,000) over the period from 2022 to 2024. As of 31 December 2024, the company held a positive net financial position of EUR 531,000 (USD 570,000). The total value of the acquisition is EUR 1 million (USD 1.07 million), in addition to an adjusted net financial position at closing estimated at EUR 80,000 (USD 86,000). The transaction is expected to be completed by 10 September 2025.
