Acquires Stake in Advantek Air Systems

India: Fabtech Technologies Cleanrooms is strengthening its air handling and controlled-environment solutions by acquiring additional shares in Advantek Air Systems, a manufacturer of AHU and HVAC equipment for the commercial and pharmaceutical industries. At a board meeting held on 12 February, Fabtech approved the purchase of 38,673 additional shares in Advantek for approximately Rs. 2.55 crore, (USD 310,000)  increasing its existing shareholding and enhancing its capabilities in integral HVAC and cleanroom air management systems. The transaction, structured on an arm’s-length basis between independent parties, is expected to close by 15 March. Advantek has recorded turnover growth in recent years, supported by robust demand for HVAC components used in contamination-controlled environments, a key element of Fabtech’s integrated cleanroom portfolio. The development follows Fabtech’s recent expansion initiatives, including the launch of a UAE subsidiary and a partnership with KP Group to deliver green-energy-powered turnkey cleanrooms.

 

Fabtech Technologies and Fabtech Technologies Cleanrooms both originate from the India-based global “Fabtech” brand. In 2020, the modular panel business was spun off into a separate entity, which registered as a public company in April 2024 and completed its IPO in January 2025, with both entities clarifying their distinct business identities. Alongside the Advantek acquisition, the board has authorised a preferential allotment of 124,440 equity shares at approximately Rs. 320 crore per share (USD 38,944 per share), aiming to raise around Rs. 3.98 crore (USD 480,000). The shares are allocated to non-promoter investor Raveendra Shetty, who will hold about a 1% stake post-issue. The capital raise is intended to support international growth and strengthen project execution capabilities. Both the Advantek acquisition and the preferential allotment will be placed before shareholders at an Extraordinary General Meeting in accordance with regulatory requirements and appointed scrutiniser oversight.
