Australia: Brookfield Proposes Acquisition Of RWC

Australia: Reliance Worldwide Corporation (RWC) Limited has entered into a process deed with Brookfield Capital Partners LLC following a non-binding proposal to acquire 100% of its ordinary shares through a scheme of arrangement at a cash offer price of AUD 4.75 per share. The offer represents premiums over recent trading levels and values the company at approximately AUD 4,100 million (USD 2,665.0 million/EUR 2,460.0 million). The proposal follows earlier indicative offers made between April and August 2026, with the current offer submitted after an eight-week due diligence period supported by access to non-public information.
Under the process deed, the company has agreed to a four-week exclusivity period until 15 September 2026, during which both parties will work towards a Scheme Implementation Deed. The proposed agreement is expected to include a 30-day “go-shop” provision allowing the company to seek alternative offers. The proposal remains subject to conditions including completion of due diligence, board approval and investment committee clearance. The company has stated that there is no certainty the proposal will result in a binding transaction and has advised shareholders to take no action at this stage.
