A. O. Smith Completes Acquisition of Leonard Valve

USA: A. O. Smith Corporation has completed the acquisition of Leonard Valve through an all-cash transaction valued at USD 470 million (EUR 430 million), subject to customary adjustments. After accounting for estimated tax benefits, the transaction value is approximately USD 412 million (EUR 377 million) and was financed through borrowing under a new credit agreement. The acquisition expands A. O. Smith’s activities in water management and adds digital capabilities and integrated solutions for commercial and institutional customers.
Leonard Valve, founded in 1911 and headquartered in Rhode Island, designs and manufactures water temperature control valves, digital and thermostatic mixing systems, and monitoring devices used in hospitals, educational institutions, industrial facilities, and other commercial environments. The business also includes the Heat-Timer brand, which provides boiler control systems supporting hydronic heating. Following the acquisition, Leonard Valve will operate within A. O. Smith, with a continued focus on water temperature management and related control technologies.
